Dr Stefan Heyder advises national and international companies in the field of corporate law. He specialises in the fields of incorporated companies and employee participation, in particular stock option plans, as well as partnership companies and shareholder disputes.

Expertise

Dr Stefan Heyder advises national and international companies in a broad range of matters relating to corporate law. He advises public limited companies in the preparation for and holding of general meetings. He also advises companies with other legal structures (including partnership companies), as well as their shareholders, especially in cases involving capital increases, changes to the articles of association or the exclusion of shareholders. In the event of a dispute, he enforces his clients’ rights in rescission matters and other disputes relating to company law matters.

Dr Heyder also often advises investors in the acquisition of shares, for example, in the context of venture capital structures. If necessary, he also represents his clients in court or arbitration court, for example in post-M&A disputes.

Finally, Dr Heyder has been providing advice for almost 20 years in the introduction and implementation of employee participation programmes, such as share option plans etc.

Career

Dr Stefan Heyder is a partner at GÖRG Partnerschaft von Rechtsanwälten mbB. Before he moved to the GÖRG Munich office in 2008, he worked as a lawyer for renowned national and international law firms, most recently as a partner.
He first studied law at the Ludwig-Maximilian University in Munich, then at the University of Bayreuth. In between, he spent a semester studying at the University of Deusto in Bilbao (Spain).

He also completed an additional degree in Economics at the University of Bayreuth.

After his initial state examinations, Dr Heyder worked as a trainee lawyer in Bayreuth with clerkships at US law firms in New York (USA) and Atlanta (USA).

Following his second state examinations, he obtained his doctorate as a research assistant under Professor Dr Volker Emmerich, on a topic of stock corporation law (“The qualified de facto stock corporation”).

Dr Heyder was admitted to the bar in 1997.
