GÖRG advises on the merger of HTGS with the IX Group

A GÖRG team led by partner Dr Philipp Grzimek provided comprehensive advice to the sole shareholder of HTGS Hoch- und Tiefbau-Generalplanung Schröder GmbH (HTGS) on the legal structuring and implementation of the merger into IX Gruppe GmbH (IX Group). The transaction was designed as a structured succession solution and successfully implemented – from strategic structuring through to negotiations and the closing.

Based in Berlin, HTGS is an established engineering firm with many years’ expertise in structural and fire safety planning, as well as general and project planning for commercial, industrial, residential and public buildings. Following decades of successful business operations, the company sought a carefully planned succession solution to secure its long-term future.

As a result of the transaction, HTGS becomes part of the IX Group, a nationwide group specialising in succession solutions for medium-sized engineering and planning firms. The IX Group focuses primarily on fire safety and structural engineering, as well as general and project planning and architectural services – particularly for high-rise, industrial and special-purpose buildings.

A key objective of the client was to secure the long-term future of his life’s work whilst ensuring business continuity: the former sole shareholder will continue to serve as managing director of HTGS and, as a shareholder, will advise the IX Group on strategic matters and future transactions.

GÖRG supported the project throughout all its phases – from legal structuring and negotiation through to the drafting of bespoke contracts and the implementation of the client’s individual objectives. The firm’s advice was characterised by a holistic approach which, in addition to expertise in transaction law, also focused on the client’s personal and business interests.
