GÖRG advises Motion Ventures on its exit from Kaiko Systems

GÖRG has provided legal advice to Motion Ventures, a Singapore-based maritime technology venture capital fund, in connection with the acquisition of all shares in Kaiko Systems by UniSea. The transaction marks a successful exit for Motion Ventures from its investment in the Berlin-based maritime AI company.

Kaiko Systems was founded in 2020 by Fabian Fussek and Eddy del Valle Pino and has developed a leading AI-powered platform for the maritime industry, in particular for vessel inspections and port state control preparation. Prior to the transaction, Kaiko Systems had raised €9 million in external funding, including a €6 million Series A round in March 2025 led by venture capital funds Hi Inov and Flashpoint, with participation from Motion Ventures, which had been an early investor in the company.

Motion Ventures is a venture capital fund focused on catalysing digital and energy transitions across global maritime supply chains. Since its inception in 2021, the firm has made more than 40 investments across Fund I and Fund II and has built the broadest industry consortium of its kind, comprising more than 20 major maritime corporates. In March 2025, Motion Ventures launched its US$100 million second fund — the largest maritime-focused technology fund to date — to accelerate the industry's digital transformation. 

With this transaction, UniSea, a Norwegian fleet management software specialist, has expanded its fleet management platform with AI-powered inspection and compliance tools, creating a new maritime software group serving more than 4,000 vessels worldwide. The acquisition was financed by a capital injection into the group by Adelis Equity, a Nordic private equity firm.

GÖRG provided Motion Ventures with advice on all transaction-related legal matters in connection with the exit, with a team led by Hamburg-based partner Prof Dr Stephan R. Göthel. He has been providing comprehensive legal advisory services to Motion Ventures on transactions in Germany since the venture capital fund entered the German market in 2022.
