[Munich, ] GÖRG Partnerschaft von Rechtsanwälten mbB provided the team headed by Munich partner Dr. Bernt Paudtke that advised Medigene AG in connection with a private placement that raised gross proceeds in the amount of € 20.7 million.
Founded in 1994, Medigene AG is a biotechnology company headquartered in Martinsried near Munich with offices in Washington, D.C., and San Diego, California. Medigene, which has been publicly traded since 2000, employs a workforce of over 90 employees in the areas of immunotherapy and the development of pharmaceuticals. The company is involved in the development of highly innovative complementary treatment platforms for targeting different types and stages of cancer with candidates in clinical phases and preclinical development.
The capital increase based on resolutions of 4/5 May 2017 represents approximately 9.7% of the company’s outstanding share capital and will increase the total number of shares to 22,118,329. The 1,964,599 new shares were placed exclusively with institutional investors via an accelerated book building transaction and will be admitted to trading on the Frankfurt Stock Exchange. The shares were issued to investors at a price of € 10.55 per share, which means gross proceeds came to € 20.7 million.
Guggenheim Securities, LLC and Baader Bank AG acted as the bookrunners for the transaction and Trout Capital LLC as co-placement agent.
Medigene AG will use the proceeds from the transaction to pursue its declared mission of research and development. The inflow of funds will permit short-term expansion of planned clinical trials for T-cell receptor-modified T cells (TCRs) to further regions and indications.
