GÖRG advises shareholders of Lawcode GmbH on the sale to SAI360

GÖRG has provided comprehensive legal advice to the shareholders of the German RegTech company Lawcode GmbH ("Lawcode") on the sale of all shares to the US-based RegTech provider SAI360. The acquisition is part of SAI360’s international growth strategy in the area of digital whistleblowing systems. Lawcode will continue to operate under its own brand in Europe following the transaction.

Lawcode GmbH, headquartered in Germany, has developed Hintbox, a modern no-code platform for digital whistleblowing systems that is used by companies and public institutions alike across the DACH region. The solution enables anonymous two-way communication, is GDPR-compliant and ISO 27001-certified, and meets the highest standards of data protection and information security.

Through this acquisition, SAI360 strengthens its position in the field of integrated risk and compliance solutions and brings a modern, secure, and user-friendly whistleblowing technology to the U.S. market.

GÖRG advised the shareholders of Lawcode on all legal and tax aspects of the transaction with a team led by Frankfurt-based partner Markus Beyer.
