GÖRG advised UNIVERSAL Eisen und Stahl GmbH, a subsidiary of Salzgitter AG, on all legal aspects of its acquisition of Thyrolf & Uhle GmbH as part of its active portfolio management strategy. With this strategic acquisition, the group is specifically strengthening its defence portfolio in the field of steel and component construction.
UNIVERSAL Eisen und Stahl GmbH, a subsidiary of Salzgitter AG, a leading steel technology group and one of Europe's largest steel producers, is acquiring the Dessau-based medium-sized company in order to strategically expand its activities in the defence segment.
Founded in 1859, Thyrolf & Uhle has built a strong reputation for expertise in steel and component construction as well as sheet metal processing. With approximately 100 employees, the company processes over 12,000 tons of steel annually at its site in Saxony-Anhalt. The company primarily covers infrastructure protection as well as civil and military vehicle construction segments.
The acquisition will enable the buyer to expand its expertise in the processing of safety steels in particular. Thyrolf & Uhle holds the relevant certifications and manufacturer qualification in accordance with DIN 2303 Q3 BK and thus meets the highest safety-related quality requirements.
A GÖRG team led by Dr Markus Söhnchen and Dr Gerhard Gündel provided legal advice to the buyer on the legal structuring and implementation of the transaction.
The transaction is subject to the fulfillment of the agreed closing conditions.
