GÖRG advises Generis Global Partners on sale to Emerald

GÖRG advised the shareholders of Generis Global Partners on the sale to the listed company Emerald Holding.

The Toronto-based Generis Global Partners Corp. is specialised in organising B2B executive summits. The M&A transaction included the acquisition of all shares in Generis Global Partners by the US company Emerald Holding Inc. The German subsidiary Generis Global Partners Europe GmbH was also sold.

The acquisition expands the existing portfolio of Emerald, the largest US organiser of B2B events for executives, with the event formats developed by Generis. Generis Global Partners was founded in 2014 by Francesco Scalzo, Jason Cheddie and Nadim Allidina. The company organises executive summits in the US and Europe for global executives from various sectors, such as supply chain, manufacturing, packaging, digital transformation and life sciences.

GÖRG advised on all German law aspects of the transaction, in particular contract drafting and due diligence, with a team led by the Hamburg-based M&A partner Prof Dr Stephan R. Göthel. The transaction was led by the Canadian law firm Bennett Jones.
