The Munich-based GÖRG team led by partner Dr. Michael Nienerza has advised the financial investor SOL Capital on the acquisition of alfer aluminium GmbH. The takeover took place within the framework of an insolvency plan and under implementation of a capital reduction. Part of the mandate for GÖRG was the restructuring of the existing financing structure, which the financing banks will continue to make available to alfer in the future.
Following the creditors' approval of the reorganisation concept, the Wandshut-Tiengen Local Court has now also confirmed the procedure devised to save the company, which was founded in 1973 in Wutöschingen-Horheim, Baden-Württemberg, and its approximately 300 jobs. The takeover by SOL Capital, which was advised by GÖRG, marks a successful end to the reorganisation in self-administration. SOL Capital, based in Vienna, specialises in providing equity capital to companies in restructuring phases or special situations, thus enabling a new start for sustainable growth.
As a specialist for aluminium profiles, the long-established company alfer aluminium is one of the market leaders in Europe. In addition to clamping, screw and system profiles as well as aluminium strips and tubes, the product portfolio also includes steel, brass and plastic profiles. In addition to the B2B channel, the company also sells to end customers via DIY stores. The takeover by SOL Capital creates security for the company, the employees and the location, as well as opening up opportunities for further development.
