GÖRG advised Ufenau Capital Partners on the sale of the heating, ventilation, air conditioning and refrigeration division of the ebutec Group to the Nordic Climate Group. The partial sale comprises four companies with a strong regional presence in northern and western Germany. Ufenau acted through Ufenau VI German Asset Light, a fund advised exclusively by Ufenau.
ebutec is a full-service provider of smart building energy efficiency solutions, specialising in building envelopes, roof refurbishment, heating, cooling, ventilation and photovoltaics. Since Ufenau’s investment in 2022, the Dortmund-based provider has evolved from a regional group into an integrated, independent platform. Today, ebutec operates with over 300 employees across twelve sites in Germany and the Netherlands.
The transaction includes the portfolio companies HRW Gebäudetechnik GmbH, Friedrich Reitemeier GmbH, Versorgungstechnik Stüve GmbH and Karl Busch Installationen GmbH. These companies specialise in commercial and industrial buildings.
Following their integration into the Swedish Nordic Climate Group, the four companies will become part of a larger group specialising in refrigeration and heating technology, as well as energy-efficient building solutions. The group employs around 2,300 staff across nine countries, including Belgium, Ireland, Denmark and Finland. The transaction also marks Nordic Climate’s entry into the German market.
The Swiss investment group Ufenau has regularly relied on the expertise of Dr Tobias Fenck and his team for transactions in the German market for many years. GÖRG previously advised Ufenau in 2022 as part of its partnership with ebutec. A team led by the Frankfurt-based lawyers Dr Tobias Fenck and Florian Mayer has now advised on all legal aspects of the sale of the unit to the Nordic Climate Group.
