GÖRG has provided comprehensive legal advice to Elevation Advisors LLP (“Elevation”) regarding the agreement for European Senior Living (“ESL”) to acquire a portfolio of senior care properties in Germany. The transaction comprises nine care homes and 40 assisted living flats.
The facilities, which comprise a total of 979 care places, are located in the Hamburg, Hanover, Dortmund and Cologne/Bonn regions.
Upon completion of the transaction, ESL will become the owner of the properties and will enter into long-term lease agreements with the Alloheim Group. At the same time, Alloheim will take over the operation of the facilities from INTEGRA, the current operator.
As part of their collaboration, Elevation and Alloheim intend to identify further opportunities to improve energy efficiency.
ESL is a European real estate investment platform advised by Elevation and specialising in senior care properties. The London-based investment manager currently manages seven properties in Germany, and this number will rise to 16 upon completion of the acquisition.
GÖRG provided comprehensive advice to Elevation, particularly with regard to the legal due diligence of the portfolio and the negotiations with the seller and Alloheim. Dr Philip Huperz led the advice in collaboration with an interdisciplinary team.
