Frankfurter Bankgesellschaft Group, the private bank of the Sparkassen-Finanzgruppe, reorganized its organizational structure at the end of 2023 with the successful formation of Frankfurter Bankgesellschaft Holding AG. As part of the restructuring, the two full-service banks based in Zurich and Frankfurt am Main as well as the Family Office and the majority stake in IMAP M&A Consultants AG were brought under the umbrella of Frankfurter Bankgesellschaft Holding AG. In connection with the reorganization, the Strategy & Investment Management, Marketing & Communication, Savings Bank Support and selected management functions were transferred to the new holding company. Landesbank Hessen-Thüringen (Helaba) remains the sole shareholder.
As regular employment law advisor to Frankfurter Bankgesellschaft (Deutschland) AG, GÖRG, which also has a long-standing client relationship with Helaba advised on the restructuring and transformation in employment law and HR issues as well as on various related interface issues (including banking supervisory law, data protection, contract law). GÖRG also supported the transformation process with workshops and trainings for managers.
GÖRG's comprehensive advice focused on supporting the review and creation of the relevant (employment) law framework for the restructuring and transformation, the transfer of key employees and support in drafting the employment contracts for the members of the Management Board of Frankfurter Bankgesellschaft Holding AG. In addition, GÖRG advised in connection with the future setup of Frankfurter Bankgesellschaft Holding AG with regard to employment law and remuneration regulatory aspects and in the reorganization of HR business and work processes.
