GÖRG advised Schütz GmbH & Co. KGaA (“Schütz Group”) on its acquisition of the internationally active composite materials specialist Euro-Composites S.A. (“EC-Group”). The parties have agreed not to disclose financial terms of the transaction.
The EC-Group, headquartered in Echternach, Luxembourg, with additional production sites in Bitburg, Germany, and Culpeper, USA, is one of the world’s leading manufacturers of complex composite materials. The group employs around 930 staff and is among the most significant industrial employers in its region. With this acquisition, the Schütz Group is safeguarding jobs and strengthening its market position in the field of highly specialized composite materials.
The acquisition was executed in the context of a restructuring of the EC-Group, ensuring both the continuation of its business operations and a structured transition to a new ownership and financing structure. Completion of the transaction remains subject to the required antitrust and foreign trade regulatory approvals.
Founded in 1958 and headquartered in Selters/Westerwald, Germany, the Schütz Group operates more than 70 production and service sites worldwide, employing over 7,000 people. It is recognized as a global leader in industrial packaging systems and has a long-standing tradition in building and domestic technology. In addition, under the CORMASTER brand, the company develops and manufactures innovative lightweight materials for the aerospace industry.
A cross-office GÖRG team, led by Frankfurt partner Markus Beyer, advised the Schütz Group on all legal aspects of the cross-border transaction, including due diligence, transaction structuring, financing, and regulatory matters. Particular attention was given to the complex restructuring issues arising in the international context of the EC- Group.
