Led by Hamburg-based partner Dr Jan-Henric M. Punte, GÖRG advised the Vivonio Group on the sale of its entire shares in fm Büromöbel GmbH to Orlando Capital. The seller of the shares, Vivonio Furniture GmbH, is represented by insolvency administrator Dr Dietmar Haffa of Schultze & Braun.
With Orlando Capital’s investment, fm Büromöbel now has a long-term perspective for its future development. Business operations at the sites in Bösel and Ampfing, Austria, will continue as before. Existing customer and supplier relationships, as well as the workforce, will also remain unchanged.
fm Büromöbel has been developing, manufacturing and distributing office furniture and holistic furnishing concepts for modern workspaces for more than 60 years. The company employs over 400 people in Germany and Austria, and its range of services covers significant parts of the value chain.
GÖRG partner Dr Jan-Henric M. Punte advised the Vivonio Group throughout the entire transaction process.
In addition to GÖRG and Schultze & Braun as insolvency administrators, IMAP M&A Consultants AG, Troesser & Company and Willkie Farr & Gallagher LLP as advisers to the financiers were also involved in the transaction.
The transaction will be completed once the necessary competition law clearance has been granted.
The sale follows the insolvency of the parent company, Vivonio Furniture GmbH, which filed for insolvency at the end of November 2024, at that time still operating under the name Vivonio Holding GmbH. Within the Vivonio Group, fm Büromöbel was the company the highest revenue. The company itself was not affected by the parent company’s insolvency and continued to operate independently.
