Phillip Schlossstein, Schlossstein Capital AG, and James Roberts, Roberts Land Limited, will acquire the operating business and real estate of DORMA-Glas GmbH through the newly established DG-Glas GmbH as part of the company’s self-administration proceedings.
A viable investor solution has been secured for DORMA-Glas GmbH, headquartered in Bad Salzuflen, as part of its ongoing insolvency proceedings under self-administration. On 5 August 2026, the agreement for the sale of the operating business to DG-Glas GmbH by way of an asset deal was notarised. Closing of the transaction is expected to take place later in August 2026.
This transaction secures the long-term future of the Bad Salzuflen site. Business operations, including the manufacture and processing of glass and glass and glass-door fittings of all kinds, as well as accessories, will continue without interruption. Customer and supplier relationships will be maintained, as will the vast majority of the company’s 210 jobs.
'With DG-Glas GmbH, we have secured an investor that is committed to the long-term development of the DORMA-Glas brand, our workforce, and our Bad Salzuflen site,' said Gregor Schnitzler, Managing Director of DORMA-Glas GmbH.
“Through this acquisition, we intend to build on the expertise in glass fitting technology that has been developed over decades, as well as the company’s established customer and supplier relationships, together with the team in Bad Salzuflen. Our immediate priority now is to restore the company’s full delivery capability as quickly as possible and regain the trust of our customers,” said Phillip Schlossstein, CEO of Schlossstein Capital AG.
‘Within a very tight timeframe, we have successfully structured an investor-backed solution that ensures the continuation of the business while taking equal account of the interests of creditors, employees and customers. The constructive cooperation between all parties involved – the management team overseeing the self-administration proceedings, the works council, the insolvency monitor and the purchaser – has laid the foundations for a sustainable future for the business,” added Prof. Dr. Gerrit Hölzle, Partner at GÖRG and restructuring expert appointed as Managing Director responsible for the self-administration proceedings.
Background: Self-Administration Proceedings
By order dated 10 March 2026 (case no. 43 IN 188/26), the Local Court (Amtsgericht) of Bielefeld initially ordered provisional self-administration proceedings in respect of the assets of DORMA-Glas GmbH and appointed attorney Stephan Michels as provisional insolvency monitor (vorläufiger Sachwalter). By further order dated 1 May 2026, formal insolvency proceedings under self-administration were opened, with Michels appointed as insolvency monitor (Sachwalter). In close coordination with the insolvency monitor, the provisional creditors’ committee and the works council, the company’s business operations were stabilised and a structured M&A process was initiated.
Investor Process and Transaction
Several national and international investors participated in the structured sale process. Ultimately, the companies of Roberts Land Ltd. prevailed in the process.
The transaction has been structured as an asset deal as part of the company’s restructuring. The operating business and key assets, including intellectual property rights, property, plant and equipment, inventories, and the operational real estate at the Bad Salzuflen site (including existing heritable building rights), will be transferred to the two acquiring entities.
