In a decision dated June 29, 2022 (7 AktG 2/22), the Munich Higher Regional Court (OLG) ruled in particular on the applicability of the Shareholders' Directive (Directive 2007/36/EC) and other provisions of securities law following the revocation of a stock corporation's stock exchange listing, which took place between the date on which the Annual General Meeting was convened and the date on which the Annual General Meeting was held, in the context of release proceedings relating to the requested entry of a domination and profit and loss transfer agreement in the commercial register.
