GÖRG, led by Cologne partners Dr Alexander Kessler and Dr Daniel Schmitz, advised the district of Leipzig on the sale of the Muldental clinics. The purchase agreement with Sana Kliniken AG was successfully completed on May 2, 2025. This was preceded by a complex closing phase in which, in particular, the insolvency proceedings initiated in the meantime for the holding company were lifted.
The Muldentalkliniken are operated by Muldentalkliniken GmbH with sites in Grimma and Wurzen in the district of Leipzig. With a total of 355 beds and over 950 employees, the company offers comprehensive basic and standard medical care for the Leipzig region. The Muldentalkliniken GmbH group of companies comprises the two subsidiaries Soziale Dienste Muldental gGmbH and Servicegesellschaft Muldental gGmbH as well as medical care centers in Colditz, Wurzen and Grimma, nursing homes for the elderly in Wurzen and Brandis and various properties.
Due to the current challenges in the healthcare sector and in particular as a result of significantly increased costs, the company was confronted with increasing economic burdens. In addition, the upcoming legal reforms as part of the Hospital Care Improvement Act led to increased planning uncertainty. Against this backdrop, the district of Leipzig, as a shareholder, decided to examine the sale of its shares in the company in order to enable the sustainable safeguarding and further development of inpatient healthcare in the region within a network. Sana Kliniken AG was acquired as a new shareholder in the course of the resulting bidding process.
With the acquisition of the majority shareholding, Sana Kliniken AG, which already operates an integrated hospital network in the region with sites in Borna and Zwenkau, is taking over the hospital sites in Grimma and Wurzen.
The GÖRG team, in cooperation with HMW Rechtsanwälte, advised the district of Leipzig on all legal and tax aspects of the transaction. This applies in particular to the transaction, healthcare, insolvency, employment and antitrust law aspects of the project and the management of the various procedural strands of the sale process initiated at the beginning of 2024.
With the successful conclusion of the transaction, the jobs of the employees and the security of supply in the region have been secured.
