GÖRG has advised ENOVA Value GmbH on the acquisition of a wind farm portfolio with a total nominal capacity of around 32 MW. The transaction comprises six wind farms in Lower Saxony, Mecklenburg-Western Pomerania, Brandenburg and North Rhine-Westphalia and opens up a repowering potential of up to 100 MW. The seller is a Luxembourg investment fund.
As part of the acquisition, ENOVA is planning a comprehensive repowering of the 17 existing turbines from Vestas, Enercon and Senvion. The plan is to replace them with up to 12 modern wind turbines with a planned total output of around 100 MW and an increase in wind yield to over 250,000 MWh. ENOVA is thus expanding its portfolio in the onshore wind sector to over 850 MW.
A GÖRG team led by Cologne partner Thoralf Herbold and Dr Ruth Büchl-Winter and Dr Ilka Mainz provided ENOVA with comprehensive advice on this transaction. The advice included the legal examination of the projects as part of a due diligence and the negotiation of the share purchase agreements.
