GÖRG Partnerschaft von Rechtsanwälten mbB advised Vienna-based SOL Capital Management GmbH on the acquisition of the machine manufacturers POLAR Mohr and Adolf Mohr. The acquisitions were made as part of a combined share and asset deal via the investment fund SOL-Drei EuVECA GmbH & Co KG (AIF). SOL Capital Management is both general partner and alternative investment fund manager (AIFM) of the fund established under Austrian law.
Adolf Mohr Maschinenfabrik GmbH & Co. KG and POLAR-Mohr Maschinenvertriebsgesellschaft GmbH & Co. KG produce high-tech machines for the printing industry and are world market leaders in the field of cutting machines. Due to supply bottlenecks, the POLAR Group had applied for court-supervised protective shield proceedings for restructuring at the end of August 2022.
The financial investor SOL Capital Management GmbH takes over 100% of the shares of the former shareholders in POLAR Mohr and the business operations of Adolf Mohr. The protective shield proceedings of the companies, which were run as family businesses for 117 years, are thus successfully ended after a few months.
The Vienna-based SOL Capital Management GmbH provides companies with equity capital in restructuring phases or special situations. As a minority or majority shareholder, the management team of SOL Capital accompanies the management of the investee company or the existing shareholders in a challenging environment. SOL Capital invests in small and medium-sized industrial, production and service companies with headquarters in German-speaking countries, preferably with international products and sales networks.
