GÖRG provided comprehensive legal counsel to the insolvency administrator of Vynova Wilhelmshaven GmbH, Dr Christian Kaufmann (PLUTA Rechtsanwalts GmbH), in connection with the sale of Vynova Wilhelmshaven GmbH’s business operations to Westlake Vinnolit GmbH & Co. KG. A team led by GÖRG partners Dr Christoph Janssen and Dr Michael Schaumann supported the insolvency administrator on all legal aspects throughout the transaction process and the implementation of the distressed M&A transaction.
With Westlake Vinnolit’s acquisition of the business operations, all approximately 350 jobs were secured and the Wilhelmshaven production site was preserved. The site is one of Europe’s largest production facilities for suspension PVC (S-PVC) and vinyl chloride monomer (VCM).
The closing and execution of the transaction required resolving complex issues related to insolvency, corporate law, energy law, public law, and regulatory matters, as well as coordinating various strands of the transaction. In this context, due to the specific conditions at the site and the corporate interdependencies of Vynova Wilhelmshaven GmbH, a large number of key contractual relationships with third parties had to be renegotiated and transferred.
